font-family: Arial; color: #363636; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap">Les présentes conditions générales s’appliquent à toutes les ventes de Produits et Prestations conclues par la société TELEADMIN. Elles s’appliquent quelque soit les clauses pouvant figurer sur les documents du Client, et notamment ses conditions générales d’achat sur lesquelles les présentes Conditions Générales prévalent. Les termes et conditions spécifiques à chaque offre de TELEADMIN sont décrits dans l’Offre correspondant et le cas échéant les conditions particulières applicables aux Produits et/ou Prestations en question. Les documents contractuels sont dans l’ordre de préséance : l’Offre, les Conditions Particulières, et les Conditions Générales. En cas de contradiction entre eux, les documents contractuels prévalent les uns sur les autres dans l’ordre indiqué ci-dessus. Ils annulent et remplacent tout document contractuel signé antérieurement entre les parties ayant le même objet et en cours d’exécution. Toute Commande implique l’acceptation sans réserve et l’adhésion pleine et entière du Client aux Conditions Générales et le cas échéant aux Conditions Particulières relatives aux Produits et/ou Prestations commandés. Il ne peut être dérogé aux Conditions Générales et Particulières, ainsi qu’aux termes de l’Offre, que par un écrit émanant de TELEADMIN. Les Conditions Générales et particulières sont communiquées à toute entité qui en fait la demande, pour lui permettre de passer commande, et sont disponibles sur le site Internet de TELEADMIN. Tout autre document que les Conditions Générales, les Conditions Particulières ou l’Offre, notamment tout catalogue, prospectus, publicité, émis par TELEADMIN n’a qu’une valeur indicative et informative, non contractuelle. TELEADMIN se réserve le droit de modifier tout ou partie des dispositions de ses Conditions générales ou particulières. <span style="font-size: 9pt; font-family: Arial; color: #103953; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap">Il est convenu expressément que toute nouvelle version sera opposable au Client un mois après son envoi par courrier, sauf opposition du Client avant l’expiration de ce délai. <span style="font-size: 9pt; font-family: Arial; color: #103953; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap">ARTICLE 2 - Commandes <span style="font-size: 9pt; font-family: Arial; color: #103953; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap">2.1 – <span style="font-size: 9pt; font-family: Arial; color: #363636; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap">TELEADMIN établit une Offre. L’acceptation de cette Offre par le Client avant l’expiration de sa durée de validité, vaut Commande. Le Client déclare avoir obtenu de la part de TELEADMIN toutes les informations nécessaires quant aux Produits et Prestations proposés, à leurs caractéristiques, leurs performances et leurs limites techniques. Il déclare que les Produits et/ou Prestations commandés correspondent bien à ses besoins. <span style="font-size: 9pt; font-family: Arial; color: #103953; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap">2.2 – <span style="font-size: 9pt; font-family: Arial; color: #363636; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap">Toute Commande est irrévocable, sauf modification ou annulation acceptée par écrit par TELEADMIN. En cas d’annulation acceptée par TELEADMIN, l’acompte versé à la Commande sera de plein droit acquis à TELEADMIN et ne pourra donner lieu à un quelconque remboursement, ce sans préjudice de tous dommages et intérêts dus en réparation du préjudice subi par TELEADMIN. <span style="font-size: 9pt; font-family: Arial; color: #103953; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap">2.3 – <span style="font-size: 9pt; font-family: Arial; color: #363636; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap">Si lors d’une précédente commande, le Client s’est soustrait en tout ou partie à son obligation de payer le prix prévu, TELEADMIN pourra légitimement refuser de lui remettre une Offre ou de valider toute nouvelle Commande à moins que ledit Client ne fournisse les garanties nécessaires. <span style="font-size: 9pt; font-family: Arial; color: #103953; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap">ARTICLE 3 - Durée du contrat en matière de Prestations <span style="font-size: 9pt; font-family: Arial; color: #363636; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap">La durée initiale du contrat est, sauf dispositions spécifiques, de 12 mois. Elle court à compter de la date précisée dans les conditions particulières applicables ou l’Offre. A l’issue de cette durée, le contrat se renouvelle par tacite reconduction par période de <span style="font-size: 9pt; font-family: Arial; color: #363636; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: underline; vertical-align: baseline; white-space: pre-wrap">12 mois <span style="font-size: 9pt; font-family: Arial; color: #363636; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap">sauf dénonciation par l’une des parties, par courrier recommandé avec accusé de réception, <span style="font-size: 9pt; font-family: Arial; color: #363636; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: underline; vertical-align: baseline; white-space: pre-wrap">3 mois<span style="font-size: 9pt; font-family: Arial; color: #363636; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap"> avant le terme de la période en cours. En cas de résiliation avant le terme prévu, à l’initiative ou pour faute du Client, quelle qu’en soit la cause (sauf manquement prouvé de TELEADMIN à ses obligations contractuelles), le Client est automatiquement et immédiatement redevable de toutes les sommes non échues dues jusqu’au terme prévu contractuellement. <span style="font-size: 9pt; font-family: Arial; color: #103953; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap">ARTICLE 4 - Tarifs - Modalités de règlement - Clause pénale <span style="font-size: 9pt; font-family: Arial; color: #103953; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap">4.1- Tarifs : <span style="font-size: 9pt; font-family: Arial; color: #363636; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap">Sauf dispositions spécifiques, les Produits et Prestations sont fournis aux tarifs en vigueur au jour de la livraison. Les prix indiqués par TELEADMIN dans son Offre sont ainsi susceptibles de révision notamment en cas de variation des tarifs de ses fournisseurs. En cas d’augmentation du prix HT égale ou supérieure à 10% par rapport au prix figurant dans l’Offre, le Client peut annuler la Commande, mais dans sa totalité seulement, sans indemnité ni dommages-intérêts pour l’une ou l’autre des parties. Les tarifs s’entendent nets, hors taxe, et hors frais de livraison, de manutention, et le cas échéant de déplacement des personnels de TELEADMIN. La T.V.A. applicable est celle en vigueur au jour du fait générateur de la taxe. TELEADMIN est en droit de modifier ses tarifs à tout moment, sans préavis, et sans encourir de responsabilité de ce fait. Pour les Prestations, il est convenu que le prix est révisé de plein droit et sans formalités, chaque année à la date d’anniversaire du Contrat, dans la limite de l’indice SYNTEC (réf. INSEE), selon la formule suivante : <span style="font-size: 9pt; font-family: Arial; color: #363636; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap">P= Po + (Pox (S-So)/So) <span style="font-size: 9pt; font-family: Arial; color: #363636; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap">P = prix révisé hors taxes, Po = prix hors taxes en vigueur avant révision, S = valeur de l’indice du SYNTEC de novembre n-1, So = valeur de l’indice du SYNTEC de novembre n-2. <span style="font-size: 9pt; font-family: Arial; color: #363636; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap">En cas de suppression de cet indice pour quelque cause que ce soit, il lui sera de plein droit substitué un indice de remplacement proche et en rapport avec l’activité de TELEADMIN. Le Client ne pourra contester ce nouvel indice que pendant le mois suivant la date d’envoi du courrier lui notifiant les prix révisés. En cas de contestation, l’indice de remplacement sera déterminé par un expert désigné d’un commun accord entre les parties ou à défaut par le Président du Tribunal de Commerce de Montpellier saisi à la requête de la partie la plus diligente. Les frais seront partagés par moitié entre les parties. <span style="font-size: 9pt; font-family: Arial; color: #103953; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap">4.2 – Modalités de règlement : <span style="font-size: 9pt; font-family: Arial; color: #363636; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap">Le prix est, sauf dispositions spécifiques, payable en totalité à la commande. Si le versement d’un acompte est convenu entre les parties, la Commande n’est enregistrée par TELEADMIN qu’après versement de cet acompte et le solde du prix est payable au comptant, au jour de la fourniture des Produits. Aucun escompte ne sera pratiqué pour paiement comptant ou antérieur à celui figurant sur la facture émise par TELEADMIN. Toute réclamation sur les éléments d’une facture doit être portée à la connaissance de TELEADMIN dans un délai maximum de 15 jours calendaires à compter de sa réception. Passé ce délai, aucune réclamation n’est recevable. Seul l’encaissement effectif des moyens de paiement, et non pas leur simple remise, est considéré comme valant paiement au sens des Conditions Générales. En cas de retard de paiement, des pénalités de retard calculées au taux de trois fois le taux d’intérêt légal, sur le montant TTC dû, pourront être exigées par TELEADMIN, sans formalité aucune ni mise en demeure préalable avec exigibilité immédiate de la totalité des sommes dues par le Client, sans préjudice de toute autre action que TELEADMIN serait en droit d’intenter, à ce titre, à l’encontre du Client. En cas de non respect des conditions de paiement figurant ci-dessus, TELEADMIN se réserve en outre le droit de suspendre l’exécution de ses obligations au titre du contrat en question et de tout autre contrat portant sur des Prestations connexes ou accessoires, et d’annuler toutes éventuelles remises accordées au Client. Par dérogation aux dispositions de l’article 1253 du Code civil, il est expressément prévu que dans l’hypothèse où serait dues plusieurs factures et que le Client procèderait à un règlement partiel, TELEADMIN sera libre d’imputer ledit règlement comme bon lui semblera, l’imputation éventuellement indiquée par le Client étant purement et simplement inopérante. En outre, les frais de recouvrement (par voie d’huissier ou judiciaire) seront supportés par le Client qui s’y engage. <span style="font-size: 9pt; font-family: Arial; color: #103953; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap">4.3 – Prestations de formation : <span style="font-size: 9pt; font-family: Arial; color: #363636; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap">Les commandes de Prestations de formation ne sont acceptées par TELEADMIN que si elles sont accompagnées du règlement de la totalité du prix ou des justificatifs adéquats de la prise en charge par un organisme gérant les fonds de formation. Une facture acquittée est alors adressée dès réception au payeur. Toute annulation ou demande de report doit parvenir par écrit à TELEADMIN au moins 10 jours ouvrables avant le début de la formation. A défaut, le prix versé par le Client restera acquis à TELEADMIN à titre d’indemnisation forfaitaire, sans préjudice de toutes autres actions qu’elle serait en droit d’intenter à l’encontre du Client. Le Client a la possibilité de remplacer le participant initialement inscrit à une formation par un autre participant appartenant à son entreprise. TELEADMIN se réserve le droit d’annuler ou de reporter une formation dans le cas où le nombre de participants serait insuffisant. Elle en informe le Client dans les meilleurs délais. <span style="font-size: 9pt; font-family: Arial; color: #103953; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap">ARTICLE 5 - Modalités de fourniture des Produits et Prestations - Garantie <span style="font-size: 9pt; font-family: Arial; color: #103953; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap">5.1 – <span style="font-size: 9pt; font-family: Arial; color: #363636; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap">Les délais de fourniture éventuellement mentionnés dans les conditions particulières applicables ou dans l’Offre, sont donnés à titre indicatif et sans aucune garantie. Ces délais dépendent notamment de la disponibilité des Produits chez les fournisseurs de TELEADMIN. Le Client autorise TELEADMIN à procéder à des livraisons partielles. Les retards éventuels ne peuvent donner lieu à dommages et intérêts, indemnités, pénalités ou retenues à titre direct ou indirect. En toute hypothèse, la fourniture dans les délais ne peut intervenir que si le Client est à jour de ses obligations envers TELEADMIN. Sauf cas particuliers, toute heure commencée est due. <span style="font-size: 9pt; font-family: Arial; color: #103953; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap">5.4 – Sous-traitant : <span style="font-size: 9pt; font-family: Arial; color: #363636; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap">Il est expressément convenu entre les parties que les Prestations peuvent être sous-traitées par TELEADMIN à une société faisant ou non partie du Groupe TELEADMIN. <span style="font-size: 9pt; font-family: Arial; color: #103953; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap">5.5 – Réception : <span style="font-size: 9pt; font-family: Arial; color: #363636; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap">Lors de la livraison, le Client ou son représentant est tenu de vérifier la conformité des Produits et Prestations fournis à la commande en quantité et qualité. Les Produits et marchandises de toute nature voyagent aux risques et périls du Client. En cas d’erreurs de quantité, de dommage ou avarie, le Client doit formuler des réserves ou réclamations expressément dans le récépissé de livraison ou de tout document équivalent du transporteur. Il doit ensuite confirmer ces réserves ou réclamations par courrier recommandé avec accusé de réception adressé au transporteur dans un délai maximum de trois jours (hors jours fériés) à compter de la livraison (cf. art L.133-1 et suivants du Code de commerce). A défaut, les Produits sont réputés sans vices apparents, et TELEADMIN est dégagée de toute responsabilité concernant lesdits produits. En outre, toute réclamation pour non-conformité ou vice apparent doit également être signalée à TELEADMIN par courrier recommandé avec accusé de réception dans les cinq jours suivant la réception des Produits ou des Prestations, à peine d’irrecevabilité. Si la non-conformité ou le vice apparent est reconnu, la responsabilité de TELEADMIN se limitera, à son choix, (a) soit à la correction de la non-conformité ou du vice, (b) soit à l’échange du Produit pour remplacement, (c) soit au remboursement de la commande, à l’exclusion de toute indemnité ou dommages et intérêts. La défectuosité partielle d’une livraison ne peut justifier son rejet total. Aucun Produit ne sera repris ou échangé sans accord préalable et écrit de TELEADMIN, et respect de la procédure de retour prévue dans les conditions particulières. En cas de Produit repris ou échangé suite à une erreur du Client, celui-ci s’engage à verser à TELEADMIN une pénalité correspondant à 1,5 fois le montant de la pénalité versée le cas échéant par TELEADMIN auprès de son fournisseur. <span style="font-size: 9pt; font-family: Arial; color: #103953; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap">5.6 – Garantie :<span style="font-size: 9pt; font-family: Arial; color: #363636; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap"> TELEADMIN garantit au Client la bonne exécution des Prestations commandées et s’engage à y apporter les soins et diligences nécessaires. Il est lié par une obligation de moyens. TELEADMIN ne garantit pas l’aptitude des Produits et/ou Prestations à répondre à des besoins ou objectifs spécifiques du Client qui n’auraient pas été contractualisés. <span style="font-size: 9pt; font-family: Arial; color: #363636; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: underline; vertical-align: baseline; white-space: pre-wrap">Exclusions de Garantie<span style="font-size: 9pt; font-family: Arial; color: #363636; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap"> : En toute hypothèse, sont exclues de toute garantie éventuelle, et sont par suite facturables au Client au tarif en vigueur, les prestations et réparations rendues nécessaires par : - l’usure normale, - le non-respect des prescriptions du constructeur et/ou de TELEADMIN, - des dommages imputables à des produits vendus par des tiers, à des connexions non conformes, à des fournitures non agréées, à des modifications des Produits, à un accident, à une surcharge même passagère, - un usage anormal ou non-conforme, une négligence, une destruction volontaire, un non-respect des instructions d’utilisation et d’entretien, imputable au Client, -l’intervention d’un tiers non autorisé par TELEADMIN pour procéder à la réparation d’un Produit, OU un environnement électrique, climatique, atmosphérique ou autre défectueux. - Pour répondre aux exigences du décret 78-464 du 24 mars 1978 concernant tout contrat conclu avec un non-professionnel ou un consommateur, il est rappelé que les dispositions qui précèdent sont stipulées sans préjudice de la garantie légale qui s’applique en tout état de cause. <span style="font-size: 9pt; font-family: Arial; color: #103953; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap">ARTICLE 6 - Transfert de la propriété - Transfert des risques <span style="font-size: 9pt; font-family: Arial; color: #363636; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap">Le transfert de propriété des Produits au profit du Client ne sera réalisé qu’après complet paiement du prix par ce dernier, et ce quelle que soit la date de livraison. <span style="font-size: 9pt; font-family: Arial; color: #363636; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: underline; vertical-align: baseline; white-space: pre-wrap">En conséquence, TELEADMIN se réserve, jusqu’au complet paiement du prix par le Client, un droit de propriété sur les Produits vendus, lui permettant de reprendre possession desdits Produits. <span style="font-size: 9pt; font-family: Arial; color: #363636; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap">Tout acompte versé par le Client restera en toutes hypothèses, acquis à TELEADMIN à titre d’indemnisation forfaitaire, sans préjudice de toutes autres actions qu’il serait en droit d’intenter de ce fait à l’encontre du Client. En revanche, le transfert des risques de perte et de détérioration des Produits sera réalisé dès leur expédition par TELEADMIN, les Produits voyageant aux risques et périls du Client. <span style="font-size: 9pt; font-family: Arial; color: #103953; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap">ARTICLE 7 - Obligations du Client <span style="font-size: 9pt; font-family: Arial; color: #363636; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap">Le Client s’engage à collaborer avec TELEADMIN en vue de lui fournir, dans les meilleurs délais, tous les moyens et informations nécessaires à la mise en œuvre des Produits et/ou à l’exécution des Prestations commandés. En outre, dès acceptation de l’Offre, il désigne parmi ses collaborateurs, un ou deux interlocuteurs privilégiés de TELEADMIN pour chaque type de Prestations commandées. Le Client devra veiller à ce que le site d’installation des Produits et leur environnement soient conformes aux instructions et notices techniques remises par TELEADMIN, afin de ne pas porter atteinte au fonctionnement des Produits. Il s’engage à prendre connaissance et à respecter les consignes et instructions d’utilisation et/ou d’entretien des Produits (notice technique), fournies par constructeurs et éditeurs ou accessibles sur leur site Internet. En cas d’entretien ou maintenance des Produits par un tiers, la responsabilité de TELEADMIN ne pourra pas être engagée et le Client sera seul responsable de toutes conséquences préjudiciables.<span style="font-size: 9pt; font-family: Arial; color: #103953; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap"> TELEADMIN ne peut être déclarée responsable du fait de la destruction ou de la détérioration de fichiers, données ou programmes dans la mesure ou elle peut restaurer une sauvegarde conforme a ces durée de rétention usuel. <span style="font-size: 9pt; font-family: Arial; color: #363636; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap">Sur demande expresse du Client et acceptation de TELEADMIN, celle-ci peut assurer la mise en ordre de marche des Produits commandés. Ces prestations sont facturées au tarif en vigueur à la date de la commande. A ce titre et sauf infogérance de conseil ou total , le Client déclare avoir été informé de la <span style="font-size: 9pt; font-family: Arial; color: #103953; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap">nécessité d’effectuer une sauvegarde complète de ses systèmes d’exploitation (données, bases de données, programmes…) avant toute prestation de TELEADMIN. Il s’engage à l’effectuer, sous sa seule responsabilité. <span style="font-size: 9pt; font-family: Arial; color: #363636; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap">En conséquence, le Client reconnaît qu’il reste seul responsable de l’intégrité et la sauvegarde de ses programmes et fichiers de données, en qualité et nombre d’exemplaires. Le Client déclare qu’il a fait réaliser et est seul responsable du Document unique d’évaluation des risques professionnels prévu par la législation du travail. La responsabilité de TELEADMIN ne saurait être engagée à ce titre. Il s’engage à respecter strictement les lois et règlement, en vigueur en France et à l’étranger en matière d’exportation. <span style="font-size: 9pt; font-family: Arial; color: #363636; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: underline; vertical-align: baseline; white-space: pre-wrap">Données à caractère personnel<span style="font-size: 9pt; font-family: Arial; color: #363636; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap"> : Le Client reste responsable de tout traitement de données à caractère personnel réalisé au sein de son entreprise et s’engage à prendre toutes les mesures administratives et légales nécessaires. <span style="font-size: 9pt; font-family: Arial; color: #103953; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap">ARTICLE 8 - Assurance <span style="font-size: 9pt; font-family: Arial; color: #363636; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap">TELEADMIN bénéficie d’une police d’assurance garantissant sa responsabilité civile professionnelle pour toutes les obligations mises à sa charge. Il s’engage à en apporter la preuve sur demande au Client, en lui fournissant une attestation de ses assureurs, énumérant les garanties souscrites, leur montant et leur durée de validité. <span style="font-size: 9pt; font-family: Arial; color: #103953; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap">ARTICLE 9 - Responsabilité - Limitation de responsabilité <span style="font-size: 9pt; font-family: Arial; color: #103953; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap">9.1 – <span style="font-size: 9pt; font-family: Arial; color: #363636; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap">Le personnel de TELEADMIN détaché chez le Client demeure sous la responsabilité de TELEADMIN laquelle dirige et encadre seule l’accomplissement des tâches de ce personnel le soumettant à sa seule autorité, et est seul habilitée à lui adresser des directives et instructions. <span style="font-size: 9pt; font-family: Arial; color: #363636; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap"> Les présentes conditions générales n’emportent aucune cession d’aucune sorte de droits de propriété intellectuelle au Client, notamment sur les logiciels commercialisés, la documentation technique afférente, les marques … En conséquence, le Client s’interdit tout agissement et tout acte susceptible de porter atteinte directement ou indirectement aux droits de propriété intellectuelle de TELEADMIN ou des Editeurs des logiciels qu’il distribue. Notamment, TELEADMIN reste propriétaire de tous les droits de propriété intellectuelle sur les logiciels qu’il édite. Au terme du contrat, quelle qu’en soit la cause, le Client s’engage à désinstaller de ses ordinateurs les logiciels dont il n’aura pas acquis la propriété en bonne et due forme, et à n’en conserver aucune copie. Les signes distinctifs de TELEADMIN, tels que ses marques, dénomination sociale, noms commerciaux, noms de domaine, sont protégés par la loi. Toute reproduction totale ou partielle de ces signes sans l’autorisation expresse de TELEADMIN est prohibée. Le non respect des dispositions du présent article est susceptible de constituer un acte de contrefaçon engageant la <span style="font-size: 9pt; font-family: Arial; color: #103953; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap">responsabilité civile et pénale<span style="font-size: 9pt; font-family: Arial; color: #363636; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap"> de son auteur. <span style="font-size: 9pt; font-family: Arial; color: #103953; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap">10.2 – <span style="font-size: 9pt; font-family: Arial; color: #363636; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap">Le Client autorise TELEADMIN à utiliser son nom, sa dénomination sociale et son logo pour faire état de leur relation commerciale dans le cadre de la présentation de ses activités, sur ses documents commerciaux et ses sites internet. <span style="font-size: 9pt; font-family: Arial; color: #103953; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap">ARTICLE 11 - Confidentialité <span style="font-size: 9pt; font-family: Arial; color: #363636; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap">Chaque Partie s’interdit de communiquer à quiconque, directement ou indirectement, tout ou partie des informations confidentielles de toute nature, commerciale, industrielle, technique, financière, ..., qui lui auront été communiquées par l’autre Partie, ou dont elle aurait eu connaissance à l’occasion de l’exécution de la Commande ou du contrat. Ne sont pas des informations confidentielles celles qui, en l’absence de faute d’une des parties, se trouvent dans le domaine public. <span style="font-size: 9pt; font-family: Arial; color: #363636; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap">Les données récoltées par TELEADMIN ne seront utilisées que pour le traitement des commandes ou pour l'élaboration de devis. En aucun cas TELEADMIN n'utilisera les données du CLIENT à d'autres fins que ce soit, sauf consentement supplémentaire accepté par le CLIENT. Les données seront stockées dans notre logiciel de gestion qui garantit une conformité avec la nouvelle règlementation RGPD ainsi que sur un stockage cloud sécurisé et conforme également. TELEADMIN conservera toutes données pendant 5 ans. En cas d’infraction à la présente interdiction, le Client sera tenu de payer immédiatement à TELEADMIN, à titre de clause pénale, une indemnité forfaitaire d’un montant égal à 12 fois le dernier salaire brut mensuel de la personne sollicitée ou embauchée, majorée de tous les frais de recrutement d’un remplaçant. <span style="font-size: 9pt; font-family: Arial; color: #103953; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap">ARTICLE 13 - Suspension des obligations <span style="font-size: 9pt; font-family: Arial; color: #363636; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap">Outre les cas habituellement retenus par la jurisprudence française comme cas de force majeure, les obligations de TELEADMIN seront automatiquement suspendues dans les hypothèses d’événements indépendants de sa volonté expresse empêchant l’exécution normale du contrat, à savoir notamment: les guerres, émeutes, grèves, rupture d’approvisionnement en eau et/ou électricité, blocage ou défaillance du système de télécommunications, blocage des réseaux informatiques extérieurs y compris les réseaux des opérateurs de télécommunications, virus informatiques, sans que cette liste soit limitative. La Partie constatant l’événement devra sans délai en informer l’autre Partie. <span style="font-size: 9pt; font-family: Arial; color: #363636; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap">La suspension des obligations de TELEADMIN ne pourra en aucun cas être une cause de responsabilité pour non-exécution de l’obligation en cause, ni induire le versement de dommages et intérêts ou pénalités de retard au profit du Client. Cependant, dès la disparition de la cause de la suspension de leurs obligations réciproques, les parties feront tous leurs efforts pour reprendre le plus rapidement possible l’exécution normale de leurs obligations contractuelles. <span style="font-size: 9pt; font-family: Arial; color: #103953; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap">ARTICLE 14 - Résiliation Anticipée <span style="font-size: 9pt; font-family: Arial; color: #363636; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap">En cas de non respect par le Client de l’une quelconque des clauses des Conditions Générales, des conditions particulières et/ou de l’Offre, et en particulier en cas de défaut de paiement de tout ou partie du prix selon les modalités prévues ou de non respect des obligations mises à sa charge, TELEADMIN se réserve le droit de résilier, sans préavis ni indemnité, la Commande ou le contrat en cours. La résiliation interviendra alors de plein droit un mois après l’envoi d’une mise en demeure demeurée en tout ou partie infructueuse. <span style="font-size: 9pt; font-family: Arial; color: #103953; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap">ARTICLE 15 - Transfert <span style="font-size: 9pt; font-family: Arial; color: #363636; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap">Le Client reconnaît irrévocablement à TELEADMIN le droit de transférer ou céder tout ou partie de ses droits et obligations à tout tiers de son choix. <span style="font-size: 9pt; font-family: Arial; color: #103953; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap">ARTICLE 16 - Dispositions générales <span style="font-size: 9pt; font-family: Arial; color: #363636; background-color: #00000000; font-weight: 400; font-style: normal; font-variant: normal; text-decoration: none; vertical-align: baseline; white-space: pre-wrap">Le fait pour TELEADMIN de ne pas se prévaloir à un moment donné, de l’une quelconque des clauses des présentes ou des Conditions Particulières, ne peut valoir renonciation à s’en prévaloir ultérieurement. Le Client agit en son nom propre et pour son propre compte en qualité d’entrepreneur indépendant. Il n’a ni le pouvoir, ni l’autorisation d’engager TELEADMIN de quelque façon que ce soit.
